These Terms and Conditions ("Terms") govern your access to and use of the Transportation Management System (TMS) platform, website, and related services (collectively, the "Platform") provided by Award Solutions Inc ("Award Solutions," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
The Platform is intended for use by businesses and their authorized employees and contractors operating in the transportation, logistics, and freight brokerage industries. By registering, you represent that:
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at contact@awardsolutionsil.com if you suspect unauthorized access.
The Platform is licensed for legitimate business use in transportation management, including but not limited to:
You agree not to use the Platform for any unlawful purpose, to transmit spam or unsolicited commercial messages, to violate any third party's rights, or to interfere with Platform operations.
By providing a mobile phone number through our Platform or website, you expressly consent to receive text (SMS) messages from Award Solutions Inc related to your shipments, dispatch notifications, invoices, operational updates, and other business communications. Consent is not a condition of purchase or use of our services.
SMS messages sent through our Platform may include:
Message frequency varies based on operational activity. You may receive multiple messages per day during active operations.
Standard message and data rates from your mobile carrier may apply. Award Solutions Inc does not charge recipients for SMS messages.
You may opt out of SMS messages at any time by replying STOP to any message. Upon receipt of STOP, you will receive one final confirmation message and no further messages will be sent:
"Award Solutions Inc: You are unsubscribed and will receive no further messages."

SMS messaging is available on all major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carrier availability may vary.
Phone numbers provided for SMS consent are not sold or shared with third parties for their own marketing purposes.
The Platform, including its software, design, features, and documentation, is owned by Award Solutions Inc and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your internal business purposes during the term of your subscription.
You retain ownership of Content you submit to the Platform. By submitting Content, you grant Award Solutions Inc a limited license to store, process, and display that Content solely as necessary to provide the Platform services.
Access to the Platform may require a paid subscription. Fees are described in your service agreement or order form. By providing payment information, you authorize us to charge applicable fees on the billing cycle agreed upon.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you agree to the collection and use of information as described therein.
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
We strive to maintain high Platform availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or events beyond our control may result in temporary unavailability. We will make reasonable efforts to notify users of planned maintenance in advance.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AWARD SOLUTIONS INC DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AWARD SOLUTIONS INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO AWARD SOLUTIONS INC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Award Solutions Inc and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, violation of these Terms, or infringement of any third-party rights.
Either party may terminate the service agreement with notice as specified in the applicable order form or service agreement. We reserve the right to suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Platform ceases and we may delete your data after a reasonable retention period.
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration in Cook County, Illinois, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
We may update these Terms from time to time. We will notify users of material changes via email or an in-platform notice. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms. The current version is always available at awardsolutionsil.com/terms.
